ReShopMe
ReShopMe was born out of the founders' frustration with cupboards full of old items gathering dust. Reduce your carbon footprint by selling your preloved items to ensure they are loved for longer. When a new look is needed, choose to repurpose by thoughtfully recycling quality items.
Our objective is to generate value and long-term return through building a trusted, cost-competitive marketplace for preloved fashion. Our activities are presently in New Zealand and Australia, with intentions to expand over the coming years. Wherever ReShopMe operates, the safety of the people who use and build the platform, and a contribution to sustainable development, are key priorities. We respect the laws and customs of every place we operate.
The way we operate
ReShopMe's reputation for acting responsibly plays a critical role in our success. A marketplace runs on trust: buyers trust us with their money and their personal information, sellers trust us with their goods and their livelihoods, and both trust us to decide fairly when something goes wrong.
Our reputation stems from our four core values, which define the essence of who we are: Accountability, Respect, Teamwork and Integrity.
These values are expressed through the principles and standards of conduct set out in The way we operate. Actions speak louder than words: the behaviour of each of us determines how well we perform and how the world views ReShopMe. Please take time to read and understand this document, and use it as a continual reference in your work.
Application
Who it applies to. The way we operate applies to the directors, officers and employees of ReShopMe Limited. Consultants, agents, contractors and suppliers are equally expected to comply with it in all their dealings with or on behalf of ReShopMe, and we make them aware of it — it is published at reshopme.com under Legal.
The people who buy and sell on the marketplace are governed by our Terms and Conditions rather than this code — but this code governs how we treat them.
Our responsibility. Each of us must comply with the law, The way we operate and ReShopMe's policies. Ignorance of the law is not an acceptable reason for non-compliance. When confronted with a business decision, ask:
- Is it legal?
- Is it consistent with The way we operate and our policies?
- Will there be any direct or indirect negative consequences for ReShopMe or for the people who trust us?
- What would my family, friends or neighbours think of my actions?
- Would I prefer to keep this secret?
- Would I want my actions reported on the front page of the newspaper?
If you are not comfortable with any of the answers, do not do it. If the law and this code differ, apply the more stringent of the two. Violations may result in disciplinary action up to dismissal, and a contractor or supplier who fails to respect this code may see their contract terminated or not renewed. Those in managerial positions have a special responsibility to lead with integrity by example.
Asking questions and reporting violations. If you have a question, or become aware of conduct that violates the law, this code or our policies, you have a responsibility to raise it. You can talk to your manager, to a director, or write to support@reshopme.com marked for the board. Every report is followed up. No action will be taken against anyone for reporting a suspected violation in good faith — whether it concerns fraud, discrimination, harassment, a privacy failure or an environmental issue — and we will not tolerate any form of recrimination against people who speak out.
The workplace
Safety and health. We are committed to an incident- and injury-free workplace; our goal is zero harm. Our work is mostly at desks and on the road rather than on industrial sites, and the standard is the same: hazards are identified and managed, workload and wellbeing are taken seriously, and healthy, supported people are recognised as essential to our success.
Employment. We respect the rights and dignity of everyone who works with us. We prohibit discrimination on the basis of race, gender, national origin, religion, age, sexual orientation, or any personal characteristic protected by law. We value diversity, forbid coercion, intimidation and abusive language, oppose forced and child labour, recognise the right of employees to choose to belong or not belong to a union and to bargain collectively, operate equitable and transparent remuneration, and invest in skills through regular reviews, education and coaching. Sexual or workplace harassment — unwanted advances, pressure for favours, threats, bullying, ridicule or exclusion — is not tolerated.
Drugs and alcohol. We must not possess or consume illegal drugs, or be impaired by alcohol or drugs, while working on ReShopMe business.
Security and business resilience. We are committed to protecting our people, our platform, the funds we hold and the data entrusted to us, and to keeping the marketplace running when things go wrong. Access to systems is controlled, sensitive accounts carry two-factor authentication, and incidents are managed so that our ability to serve buyers and sellers — and to meet our obligations to them — is sustained.
The people on our marketplace, and the environment
Human rights. We support and respect human rights consistent with the Universal Declaration of Human Rights, and we seek never to be complicit in abuses committed by others. On a marketplace this is concrete: we do not permit the sale of stolen or counterfeit goods, we act against listings that exploit people, and we design our processes — identity checks, claims decisions, account actions — to treat every person with dignity.
Our community. Our neighbours are the buyers and sellers who make the marketplace, and the communities of New Zealand and Australia where we operate. We set out to build enduring relationships of mutual respect: we consult before we change things that affect people's livelihoods, we communicate in plain language, and we want the value the marketplace creates to be genuinely shared with the people who create it.
Environment. Excellence in environmental performance is essential to our business success — and our business is an environmental proposition: every preloved garment sold is one kept in use and out of landfill. We manage the footprint we do have — shipping, packaging and digital infrastructure — under our Environment Policy, and we never claim an environmental benefit we cannot substantiate.
Business integrity
Conflicts of interest. Our personal activities and interests must not conflict — or appear to conflict — with our responsibilities to ReShopMe. That includes outside work, interests in suppliers or competitors, dealings on ReShopMe's behalf with relatives or friends, influence over the evaluation or pay of a relative or partner, personal use of confidential information, and acceptance of more than modest gifts from anyone dealing with ReShopMe. If you think you may be in a conflict, disclose all relevant details to a director immediately. A special case for a marketplace: staff who buy or sell on ReShopMe must do so on the same terms as everyone else, and must never use non-public information — search data, another user's activity, an unpublished feature — for personal advantage.
Gifts and entertainment. Modest gifts and entertainment are acceptable; anything that could be intended, or reasonably interpreted, as a reward or encouragement for preferential treatment is prohibited.
Competition. ReShopMe is committed to free and fair competition. We compete vigorously while complying with the Commerce Act 1986 in New Zealand and the Competition and Consumer Act 2010 in Australia: we do not exchange commercially sensitive information with competitors — prices, fees, strategies, bidding intentions — and we take advice before any benchmarking or joint activity with a competitor. Our Antitrust Standards and Guidance Notes set the mandatory rules, including the marketplace-specific ones: sellers set their own prices, and the platform is never a vehicle for coordinating them.
Bribery and corruption. ReShopMe prohibits bribery and corruption in all forms, direct or indirect. We do not offer, promise, give, demand or accept any undue advantage to or from a public official, a political candidate or party, a community leader or any private-sector employee, to obtain or retain business or any other improper advantage. We prohibit facilitation payments. If in doubt about the legitimacy of a payment, ask a director before making it.
Financial crime. ReShopMe is a reporting entity under the Anti-Money Laundering and Countering Financing of Terrorism Act 2009. We carry out the customer due diligence, monitoring, reporting and record-keeping the Act requires, we do not tip off the subject of a report, and we do not transact with persons subject to applicable sanctions. Our AML/CFT Policy governs; every person handling customer funds or identity information must know it.
Fair business practices. We carry out our business fairly and with integrity. With customers we are clear, concise and truthful — our Fair Trading Act obligations are a floor, not a ceiling. This extends to generated media: imagery and video produced with our content tools must depict real items truthfully — defects are never repaired by generation and bodies are never reshaped. In procurement we run fair evaluation processes and expect our suppliers to hold their own standards of integrity and lawful conduct.
Cross-border business. Operating across borders, we ensure payments to agents are for services genuinely rendered, taxes and duties are legitimate, export and customs rules are observed, and no expansion into a new country proceeds without assessing the risk and taking advice.
Assets and information
Records. All company records must give a true and fair view of our business affairs. Financial transactions are recorded properly and consistently; we do not create records intended to conceal anything improper. Our escrow ledgers, credit ledgers and tax records are append-only by design — a correction is a new entry, never a rewrite of history.
Company property and electronic resources. ReShopMe property and financial resources are for the company's use. Electronic resources must be used responsibly: no offensive, unlawful or infringing use, no destruction of records that may be needed in a legal or regulatory matter, and no sharing of passwords. Incidental personal use is permitted if moderate. Anything that constitutes a business record is retained as long as required, even after the person who produced it has left.
Confidential information. We protect ReShopMe's confidential information and the confidential information entrusted to us by others. Be careful where you discuss it and how you store it; do not use it for personal advantage; use confidentiality agreements before sharing it outside the company.
Intellectual property. We protect our own intellectual property and respect the rights of others — including the sellers whose photographs and content appear on our platform, whose ownership our Terms preserve. We act on infringement reports, and we do not permit our name or brand to be used without approval.
Data privacy. The lawful and correct treatment of personal information is of the utmost importance. We hold funds, identity documents, addresses, messages, livestream recordings and customer likenesses — the Privacy & Cookies Policy states what we collect and why, and the Privacy Act 2020 governs. Access is limited to those who need it; personal data is never sold.
Government, media and shareholders
Government relations. We deal with governments and regulators — including Inland Revenue, the Department of Internal Affairs, the Privacy Commissioner and the Australian Taxation Office — honestly and cooperatively, asserting our legal rights where appropriate and protecting confidentiality when submitting information.
Political involvement. ReShopMe does not participate in party politics and does not make payments to political parties or politicians. We communicate views to governments on matters affecting our business openly and on the record. Nothing restricts individuals acting in their personal capacity.
Communicating publicly. Communication with media and shareholders is accurate, consistent and authorised — we do not present personal views as ReShopMe's, and we do not disclose customers' or sellers' information in doing so. We report honestly on our performance, including our sustainable development performance, and we verify accuracy before we publish.
Waivers. Only the board may grant a waiver of The way we operate, and only in rare circumstances; any waiver for a director would be disclosed to shareholders.
